Contract Forms Commonly Used in China

 

 

 

 

 

Abstract

 
For a long time in her history, China relied on the traditional model of project contract structuring where the employer engaged the designer and the contractor separately and the contractor would build based on the design commissioned by the employer. The first model construction contract produced by the PRC construction authorities was based on this traditional model. In recent years, however, more varied contract models have been adopted in China's construction projects, including design-build, EPC and construction management contracts. FIDIC contracts, in particular the design-build and EPC forms, are widely used. The construction authorities are also in the process of drafting China's own model EPC contract based on the FIDIC contract.
 
This seminar will discuss various forms of construction contract commonly used in China and compare their key features. The speakers will also talk about some practical issues arising from contract performance.

Helen Chang  
Partner, Pinsent Masons Shanghai
 
Helen is a partner of Pinsent Masons Shanghai Office.  She has advised on China'sconstruction and infrastructural projects including LNG, water, port, bridge and building construction. Helen has substantial experience in advising on PRC regulatory issues including contract structure and licenses. She also has extensive experience in the reviewing and drafting of construction related contracts.
 
Ellen Zhang    
Associate, Pinsent Masons Beijing
 
Ellen is an associate with Pinsent Masons Beijing Office and is dual qualified in China and England and Wales. Ellen has worked in the fields of construction, infrastructure projects and foreign direct investment and advised both foreign companies doing business in China and Chinese companies venturing abroad. Ellen has extensive experience in the reviewing and drafting of construction contracts including adapting international forms of contract to be PRC compliant.
